Merchant Terms

Article 1 (Application)

  1. These Terms set out the conditions for use of the merchant services of "Lastmods" (the "Service"), operated by Manatsubi (sole proprietor: Kentaro Hisamoto; the "Operator").
  2. A business that completes merchant registration (a "Merchant") is deemed to have agreed to these Terms.

Article 2 (Definitions)

  1. "Coupon" means a discount or other benefit that a Merchant configures on the Service and offers to users.
  2. "Redemption" means a user presenting a Coupon in store and the Merchant recording its use through the prescribed scanning procedure.
  3. "Performance Fee" means the fee of CAD 2.00 that the Operator charges the Merchant for each Redemption.
  4. "Free Period" means the period during which the Performance Fee is waived, as set out in Article 6.

Article 3 (Registration)

  1. Merchant registration requires accurate and up-to-date information.
  2. The Operator may decline a registration, or cancel it after completion, based on its review of the registered details.

Article 4 (Scope of the Service)

  1. The Operator provides Merchants with a store listing, Coupon issuance and management features, and a dashboard (including records of Redemptions and estimated charges).
  2. The store listing itself is free of charge. No fixed or monthly fees apply to the listing.

Article 5 (Performance Fee)

  1. The Merchant shall pay a Performance Fee of CAD 2.00 for each Redemption.
  2. Performance Fees are aggregated per calendar month and charged in the following month to the registered payment method (credit card). No set-off or carry-over applies; only the simple total of Redemptions multiplied by the unit fee is charged.
  3. Where applicable taxes (such as GST) arise, they will be added to the fee in accordance with law.

Article 6 (Free Period)

  1. For six months from the general launch of the Service, the Performance Fee is waived for all Merchants.
  2. The end date of the Free Period is clearly shown at the time of registration, in the dashboard and in the registration confirmation notice.
  3. The Operator will notify Merchants at least 30 days before Performance Fee billing begins. Billing will not start without the Merchant's consent.

Article 7 (Coupon Terms and Honouring)

  1. The cost of Coupon discounts is borne by the Merchant.
  2. The Merchant shall honour, in good faith, the terms of Coupons it has configured, for users who present them within the validity period.
  3. Where a Coupon covers alcohol or other legally restricted goods or services, the Merchant shall comply with applicable laws.
  4. A Merchant shall not interfere with the mechanism for displaying PR labels, nor request that users circumvent it.

Article 8 (Obligation to Record Redemptions)

  1. When applying a benefit to a user who presents a Coupon, the Merchant shall always record the Redemption through the prescribed procedure (scanning the code with a store device, or the prescribed manual entry where scanning is not possible).
  2. Applying the benefit without performing the recording procedure, or otherwise circumventing the recording of Redemptions, is prohibited.

Article 9 (Payment; Late Payment)

  1. The Merchant shall register and maintain a valid payment method.
  2. If payment of a charge cannot be confirmed, the Operator may, after re-attempting the charge, suspend the Coupon features once 14 days have passed without payment being confirmed. Even in that case, the free store listing will be maintained.
  3. Once payment is confirmed, the Operator will restore the Coupon features within a reasonable period.

Article 10 (Prohibited Conduct)

The Merchant shall not:

  1. record a Redemption where no actual use occurred, or misrepresent whether a recorded Redemption took place;
  2. circumvent the recording obligation under Article 8;
  3. provide false registration information or register by impersonating a third party;
  4. use user information obtained through the Service for purposes other than using the Service;
  5. engage in conduct that violates law or public order and morals.

Article 11 (Termination)

  1. The Merchant may terminate its membership at any time through the dashboard or by notice to the Operator.
  2. Upon termination, issuance of new Coupons stops. Coupons issued before termination remain valid until their expiry, and the Merchant shall honour them in accordance with Article 7.
  3. The obligation to pay Performance Fees accrued up to termination survives termination.

Article 12 (Listings and User Content)

  1. The Service may display photos, comments and other content posted by users ("User Content") together with store information, regardless of whether the store is a Merchant. Joining or terminating membership does not cause User Content to be deleted.
  2. The Merchant may set and manage its own store photos and details through the dashboard.
  3. Corrections to listing errors may be requested through the Operator's designated contact.
  4. If a Merchant intends to use User Content outside the screens of the Service for its own advertising, promotion, or any other purpose, the Merchant shall obtain the Operator's prior consent.

Article 13 (Disclaimer; Limitation of Liability)

  1. The Operator exercises reasonable care in providing the Service but does not guarantee customer traffic or any other specific results.
  2. Except in cases of the Operator's wilful misconduct or gross negligence, the Operator's liability to a Merchant is limited to the total Performance Fees received from that Merchant in the three months preceding the month in which the damage arose, and the Operator is not liable for indirect damages or lost profits.

Article 14 (Amendments)

  1. The Operator may amend these Terms. For amendments that materially affect Merchants (including changes to the fee amount or billing conditions), the Operator will give notice at least 30 days before they take effect.
  2. If a Merchant continues to use the Service after an amendment takes effect, the Merchant is deemed to have agreed to the amended Terms.

Article 15 (Governing Law; Jurisdiction)

These Terms are governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute relating to these Terms.
